Terms of Service

These Terms of Service ("Terms") govern your access to and use of proforged.io (the "Site") and the marketing services provided by Proforged ("Proforged", "we", "us", or "our"). By using the Site or Services, you agree to these Terms. If you do not agree, do not use the Services.

1. The Services

Proforged provides marketing services for home-service contractors, including exclusive market positioning. We limit the number of active clients per business category ("niche") and metropolitan area ("metro") — generally a maximum of three (3) active clients per niche per metro, with at most one (1) "Dominate" (sole-provider) client per niche per metro. Availability is shown on the Site and confirmed at checkout.

2. Eligibility

You must be at least 18 years old, represent a business, and have authority to enter into these Terms on that business's behalf.

3. Subscriptions, Fees, and Billing

The Services are offered on a monthly subscription basis at the tier you select. Fees are billed in advance each month through Stripe and renew automatically until cancelled. You authorize us and Stripe to charge your payment method on a recurring basis. Prices may change with prior notice. You are responsible for any applicable taxes.

4. Cancellation and Refunds

Plans are month-to-month. You may cancel at any time; cancellation takes effect at the end of your current billing period (a 30-day exit). Except where required by law, fees already paid are non-refundable. Upon cancellation, your exclusive market slot is released and may be offered to another business.

5. Exclusive Market Slots

Your exclusive slot is reserved only while your subscription is active and in good standing. Non-payment, lapse, or cancellation releases the slot, and we do not guarantee its continued availability afterward.

6. Your Responsibilities

You agree to provide accurate information, cooperate as reasonably needed to deliver the Services, and comply with all applicable laws and advertising platform rules. You are solely responsible for your own business licensing and for the services you provide to your own customers.

7. No Guarantee of Results

Marketing outcomes vary. We do not guarantee any specific number of leads, customers, revenue, rankings, or other results. Nothing on the Site or in the Services is a promise of a particular outcome.

8. Intellectual Property

The Site and its content are owned by Proforged. We grant you a limited, non-exclusive, non-transferable right to use the Services for your business during your subscription.

9. Disclaimers

The Site and Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law.

10. Limitation of Liability

To the maximum extent permitted by law, Proforged will not be liable for any indirect, incidental, special, or consequential damages. Our total liability for any claim will not exceed the fees you paid us in the three (3) months before the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold Proforged harmless from claims arising out of your use of the Services or your violation of these Terms or any law.

12. Governing Law

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws rules. Any disputes will be resolved in the state or federal courts located in Florida.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of the Site or Services after changes take effect constitutes acceptance of the updated Terms.
